Terms of Service

Welcome to Orange Rabbit. These Terms of Service ("Terms") govern your access to and use of the Orange Rabbit website, member network, events, and the ORB rewards program (together, the "Service"). By creating an account, joining the network, attending an event, or otherwise using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Who we are

Orange Rabbit is operated by Vegas Crypto Group in Las Vegas, Nevada ("Orange Rabbit," "we," "us," or "our"). We run real-world events and an online membership network for builders, founders, investors, and the broader community.

2. Eligibility

You must be at least 18 years old to create an account or attend our events. By using the Service you represent that you meet this requirement and that any information you provide is accurate and current.

3. Your account

We use passwordless sign-in. To access member features you provide an email address and confirm it through a one-time link we send you. You are responsible for keeping access to that email address secure and for all activity that occurs under your account. Tell us right away if you believe your account has been accessed without your permission. You may close your account at any time by contacting us.

4. Membership, XP, and invite codes

The ORB program lets members earn experience points ("XP"), levels, and status by participating in the community. XP, levels, badges, and invite codes have no cash value, are not transferable for money, and may be adjusted, expired, or reset at our discretion — for example to correct errors or address abuse. Invite codes are personal to your account and are limited to the number of uses we specify. Do not sell, automate, or otherwise misuse codes or the rewards system.

5. Acceptable use

You agree not to:

• Break the law or infringe anyone's rights while using the Service;
• Harass, threaten, impersonate, or harm other members or our team;
• Post or share content that is unlawful, fraudulent, hateful, or that you do not have the right to share;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with their normal operation;
• Scrape, harvest, or collect data about other members without consent.

6. Content you submit

You keep ownership of the content you submit (for example messages, profile details, or event RSVPs). By submitting content you grant us a non-exclusive, worldwide, royalty-free license to host, display, and use it as needed to operate and promote the Service. You are responsible for your content and confirm you have the rights to share it.

7. Events

Event details, dates, venues, and capacity may change. Some events are free and some are ticketed or invite-only. By attending you agree to follow venue rules and any event-specific conduct policies. You consent to being photographed or recorded at events for community and promotional purposes unless you tell us otherwise in writing.

8. Sponsorships and commercial agreements

Sponsorship packages, activations, and deliverables are described on our site and confirmed in a separate written agreement or invoice. Those written terms control if they conflict with anything described informally on the site. Fees are due as stated on the invoice. Deliverables and reporting are provided on a commercially reasonable basis.

9. Third-party services and links

The Service relies on and links to third-party services — including event and RSVP platforms, our merchandise store, scheduling tools, and email delivery. We are not responsible for third-party services or websites, and your use of them is governed by their own terms and policies.

10. Intellectual property

The Orange Rabbit name, logo, brand assets, site design, and original content are owned by us or our licensors and are protected by law. You may not copy, modify, or use them without our written permission, except as expressly allowed (for example, sponsor assets we provide for an agreed activation).

11. Disclaimers

The Service is provided "as is" and "as available." We do not guarantee that it will be uninterrupted, error-free, or secure, and we disclaim all warranties to the fullest extent permitted by law. Nothing on the Service is financial, investment, legal, or tax advice. Any decisions you make are your own responsibility.

12. Limitation of liability

To the fullest extent permitted by law, Orange Rabbit and its team will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to USD $100.

13. Indemnification

You agree to indemnify and hold harmless Orange Rabbit and its team from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms.

14. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or to protect the community or our systems. You may stop using the Service at any time. Sections that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify members. Your continued use of the Service after changes take effect means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. Any disputes will be handled in the state or federal courts located in Clark County, Nevada.
